BOOST PIPER — TERMS & CONDITIONS

These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of Boost Piper, a platform operated by Osnix Enterprise.

By creating an account, accessing, or using Boost Piper, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform.


1. ABOUT BOOST PIPER

Boost Piper is a digital platform that connects Brands/Clients with Influencers/Creators for marketing collaborations and campaigns.

The Platform may allow users to:

  • create Brand or Creator profiles;
  • discover Brands or Creators;
  • create marketing campaigns;
  • apply for campaigns;
  • invite Creators to campaigns;
  • negotiate or agree on campaign requirements;
  • communicate with other users;
  • submit campaign deliverables;
  • review and approve deliverables;
  • track campaign progress;
  • connect supported social-media accounts;
  • view social-media analytics and performance information;
  • make or receive campaign payments;
  • rate and review other users; and
  • access other features we may introduce.

Boost Piper is a technology platform that facilitates connections and transactions between users. Unless expressly stated otherwise, Boost Piper is not the advertising agency, employer, agent, representative, or legal partner of a Brand or Creator.

In these Terms, “Boost Piper”, “we”, “us”, and “our” refer to Osnix Enterprise.

“User”, “you”, and “your” refer to any individual or organization using Boost Piper.


3. ELIGIBILITY

To use Boost Piper, you must:

  • be legally capable of entering into a binding agreement;
  • provide accurate registration information;
  • comply with applicable laws;
  • comply with these Terms;
  • comply with applicable third-party platform policies; and
  • meet any minimum age requirements applicable to your location.

If you are using Boost Piper on behalf of a company or organization, you confirm that you have authority to bind that organization to these Terms.

We may require additional verification before allowing access to certain features.


4. ACCOUNT REGISTRATION

You may be required to create an account to use certain features.

You agree to provide:

  • accurate information;
  • complete information;
  • current information; and
  • information that you are authorized to provide.

You are responsible for keeping your account information accurate.

You must not:

  • impersonate another person;
  • create an account using another person’s identity;
  • create fraudulent accounts;
  • provide false business information;
  • use another person’s login credentials; or
  • create accounts for deceptive purposes.

We may suspend or terminate accounts that contain false, misleading, or fraudulent information.


5. ACCOUNT SECURITY

You are responsible for maintaining the security of your account.

You must keep your:

  • password;
  • authentication credentials;
  • verification codes; and
  • other account-security information

confidential.

You must notify us promptly if you believe that your account has been compromised.

Boost Piper is not responsible for losses resulting from your failure to protect your account credentials, except where liability cannot lawfully be excluded.


6. TYPES OF USERS

Boost Piper may support different types of users, including:

6.1 Creators / Influencers

Creators may use Boost Piper to:

  • create a Creator profile;
  • showcase their social-media presence;
  • discover campaigns;
  • apply for campaigns;
  • receive campaign invitations;
  • negotiate campaign requirements;
  • create campaign content;
  • submit deliverables;
  • receive payments; and
  • build their reputation through ratings and reviews.

6.2 Brands / Clients

Brands may use Boost Piper to:

  • create a business profile;
  • create campaigns;
  • specify campaign requirements;
  • discover Creators;
  • invite Creators;
  • review applications;
  • select Creators;
  • provide campaign instructions;
  • review submitted content;
  • approve deliverables;
  • make payments; and
  • rate Creators.

7. BRAND RESPONSIBILITIES

Brands are responsible for ensuring that campaigns they publish are:

  • lawful;
  • truthful;
  • accurately described;
  • commercially legitimate;
  • appropriately funded; and
  • compliant with applicable advertising laws and regulations.

Brands must provide Creators with sufficient information to understand the campaign requirements.

A Brand must not create a campaign requiring a Creator to:

  • engage in unlawful activity;
  • make fraudulent claims;
  • promote illegal products or services;
  • impersonate another person or organization;
  • violate intellectual-property rights;
  • publish misleading advertising;
  • manipulate social-media engagement fraudulently; or
  • violate the policies of the relevant social-media platform.

8. CREATOR RESPONSIBILITIES

Creators are responsible for:

  • providing accurate profile information;
  • accurately representing their audience and social-media metrics;
  • completing accepted campaigns;
  • meeting agreed deadlines;
  • following legitimate campaign instructions;
  • creating original or properly licensed content;
  • complying with advertising and disclosure requirements;
  • complying with applicable social-media policies; and
  • communicating honestly with Brands.

Creators must not artificially inflate:

  • followers;
  • views;
  • likes;
  • comments;
  • shares;
  • engagement;
  • impressions; or
  • other performance metrics.

Using bots, purchased engagement, fake accounts, engagement farms, or other deceptive methods may result in suspension or termination.


9. CAMPAIGNS

Brands may create campaigns specifying requirements such as:

  • campaign objective;
  • budget;
  • campaign duration;
  • target audience;
  • location;
  • Creator category;
  • number of Creators;
  • content type;
  • deliverables;
  • deadline;
  • social-media platform;
  • number of posts;
  • number of stories;
  • number of videos;
  • flyer posts;
  • demonstrative advertisements;
  • location-based advertisements;
  • combined social-media posts;
  • platform-specific posts;
  • usage rights; and
  • other campaign requirements.

The available campaign formats may change as Boost Piper develops.


10. SOCIAL-MEDIA PLATFORMS

Campaigns may require content to be published on one or more social-media platforms.

For example, a campaign may require:

  • Snapchat only;
  • Instagram only;
  • TikTok only;
  • Facebook only;
  • X only;
  • YouTube only; or
  • multiple social-media platforms.

Creators are responsible for ensuring that their participation complies with the applicable social-media platform’s rules.

Boost Piper does not guarantee that any third-party social-media platform will continue to support a particular API, feature, account type, or integration.


11. CAMPAIGN APPLICATIONS

A Creator may apply to campaigns that are available to them.

Submitting an application does not guarantee selection.

A Brand may:

  • accept an application;
  • reject an application;
  • invite a Creator;
  • cancel a campaign before selection; or
  • select another Creator.

Creators must not misrepresent their qualifications, audience, previous work, or performance metrics when applying.


12. CREATOR SELECTION

A Brand is responsible for selecting Creators for its campaigns.

Boost Piper may provide recommendations, search results, rankings, analytics, or matching features, but these tools do not constitute a guarantee that a Creator will achieve a particular marketing result.

Similarly, Creators are responsible for evaluating whether a campaign is appropriate for them before accepting it.


13. CAMPAIGN AGREEMENT

Once a Brand and Creator agree to collaborate, the Platform may record the agreed campaign terms.

Depending on the features available, these may include:

  • agreed compensation;
  • deliverables;
  • deadlines;
  • social-media platforms;
  • content format;
  • number of posts;
  • approval requirements;
  • campaign location;
  • content usage rights; and
  • other campaign requirements.

Once accepted, both parties are expected to comply with the agreed terms.


14. CAMPAIGN CONTENT

Creators are responsible for content they produce or submit.

Creators must ensure that their content:

  • is lawful;
  • is not intentionally misleading;
  • does not infringe third-party rights;
  • does not contain unauthorized copyrighted material;
  • does not unlawfully use another person’s likeness;
  • complies with applicable advertising rules;
  • complies with the Brand’s legitimate campaign requirements; and
  • complies with the rules of the applicable social-media platform.

15. ADVERTISING DISCLOSURES

Creators may be required to clearly disclose commercial relationships with Brands.

Where applicable, Creators should use appropriate disclosures such as:

  • sponsored;
  • paid partnership;
  • advertisement;
  • #ad;
  • or other disclosures required by applicable law or the relevant social-media platform.

Creators and Brands are individually responsible for complying with applicable advertising and consumer-protection requirements.


16. CONTENT APPROVAL

Where a campaign requires Brand approval, the Creator may be required to submit content through Boost Piper before publication.

The Brand may:

  • approve the content;
  • request reasonable changes;
  • reject content that does not comply with agreed requirements; or
  • request resubmission.

Brands must not use the approval process to require Creators to perform work materially outside the agreed campaign requirements without appropriate agreement.


17. PAYMENTS

Where Boost Piper facilitates payments, users agree to provide accurate payment information.

Payments may involve third-party payment processors.

Depending on the payment system used, Boost Piper may:

  • collect payments from Brands;
  • hold funds temporarily;
  • release funds after campaign milestones;
  • deduct applicable Platform fees;
  • process refunds;
  • process Creator payouts; or
  • perform other payment-related functions.

Payment functionality may vary by country, currency, payment provider, and user type.


18. PLATFORM FEES

Boost Piper may charge:

  • service fees;
  • transaction fees;
  • campaign fees;
  • subscription fees;
  • withdrawal fees;
  • payment-processing fees; or
  • other applicable fees.

Any applicable fees will be disclosed before the relevant transaction where reasonably possible.

We may change our fees in the future. Changes will not normally affect transactions that have already been completed unless otherwise required by law or agreed by the parties.


19. PAYMENT PROCESSORS

Payments may be processed through third-party payment providers.

By using payment functionality, you may also be subject to the terms and policies of the applicable payment provider.

Boost Piper does not control third-party payment systems and cannot guarantee uninterrupted availability of external payment services.


20. CAMPAIGN CANCELLATION

A campaign may be cancelled before or after Creator selection depending on its status and the circumstances.

Cancellation may be subject to:

  • campaign terms;
  • payment status;
  • work already completed;
  • cancellation policies;
  • applicable fees; and
  • applicable law.

Where funds have already been transferred, refunds or payments may be handled according to the applicable campaign and payment terms.


21. DISPUTES BETWEEN BRANDS AND CREATORS

Boost Piper may provide tools to help users resolve campaign disputes.

Disputes may involve:

  • missed deadlines;
  • incomplete deliverables;
  • content quality;
  • payment;
  • campaign cancellation;
  • unauthorized content use;
  • failure to follow campaign instructions; or
  • other campaign-related issues.

We may review relevant information, including:

  • campaign requirements;
  • messages;
  • submitted content;
  • timestamps;
  • payment records;
  • approvals;
  • account information; and
  • other relevant Platform data.

Our involvement in a dispute does not necessarily mean that Boost Piper assumes legal responsibility for the underlying transaction.


22. DISPUTE DECISIONS

Where Boost Piper offers an internal dispute-resolution process, we may make decisions regarding Platform actions such as:

  • releasing or withholding funds where our payment system permits;
  • cancelling a campaign;
  • restricting an account;
  • removing content;
  • issuing refunds where appropriate; or
  • taking other reasonable Platform actions.

Nothing in these Terms prevents a user from exercising rights available under applicable law.


23. RATINGS AND REVIEWS

Users may be able to rate and review one another after campaigns.

Reviews must be:

  • honest;
  • relevant;
  • based on genuine experience;
  • non-abusive; and
  • lawful.

Users must not:

  • submit fake reviews;
  • threaten another user to obtain a favorable review;
  • offer compensation for fake reviews;
  • manipulate ratings;
  • post discriminatory content; or
  • use reviews to harass another user.

Boost Piper may remove reviews that violate these Terms.


24. SOCIAL-MEDIA ANALYTICS

Boost Piper may display analytics and performance information obtained from connected social-media accounts or other permitted sources.

Such information may include:

  • followers;
  • views;
  • likes;
  • comments;
  • shares;
  • impressions;
  • reach;
  • engagement rates; and
  • other available metrics.

Analytics may not always be real-time or complete.

Boost Piper does not guarantee the accuracy, availability, or continued availability of third-party social-media data.


25. SOCIAL-MEDIA API ACCESS

When you connect a social-media account, you authorize Boost Piper to access information according to:

  • the permissions you grant;
  • the relevant social-media platform’s API;
  • the platform’s policies; and
  • applicable law.

You may disconnect supported accounts where the Platform provides this functionality.

Third-party platforms may change or revoke API access without notice.


26. INTELLECTUAL PROPERTY

The Boost Piper application, website, branding, logos, software, design, interface, text, graphics, and other Platform materials are owned by or licensed to Osnix Enterprise unless otherwise stated.

You may not:

  • copy the Platform;
  • reproduce its design;
  • reverse engineer it;
  • modify it;
  • distribute it;
  • sell access to it;
  • scrape it;
  • create derivative works from it; or
  • use Boost Piper branding without authorization.

27. USER CONTENT

You retain ownership of content that you create and upload to Boost Piper, subject to the rights granted under these Terms.

By uploading content, you grant Boost Piper a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit that content as reasonably necessary to:

  • operate the Platform;
  • provide campaign functionality;
  • display your profile;
  • facilitate campaigns;
  • process disputes;
  • provide support;
  • maintain backups; and
  • improve our services.

We do not automatically acquire ownership of your original content merely because you upload it to Boost Piper.


28. BRAND CONTENT

Brands may upload:

  • logos;
  • product photographs;
  • marketing materials;
  • campaign briefs;
  • trademarks;
  • advertisements; and
  • other materials.

Brands represent that they have the necessary rights to provide these materials for use in their campaigns.


29. CREATOR CONTENT RIGHTS

Unless otherwise agreed between the Brand and Creator, participation in a campaign does not automatically transfer ownership of all Creator content to the Brand.

Campaigns may specify separate rights concerning:

  • ownership;
  • reposting;
  • advertising;
  • commercial usage;
  • duration of usage;
  • geographic usage;
  • paid advertising;
  • whitelisting;
  • editing; and
  • licensing.

Users should clearly establish these rights before beginning a campaign where they are important.


30. PROHIBITED ACTIVITIES

You must not use Boost Piper to:

  • commit fraud;
  • scam another user;
  • impersonate another person or organization;
  • provide false information;
  • manipulate campaign results;
  • purchase or sell fake engagement;
  • distribute malware;
  • attempt unauthorized access;
  • scrape Platform data without authorization;
  • violate intellectual-property rights;
  • promote illegal products or services;
  • facilitate unlawful activities;
  • harass or threaten users;
  • discriminate against users unlawfully;
  • publish unlawful content;
  • abuse payment systems;
  • circumvent Platform fees;
  • manipulate ratings;
  • create fake accounts;
  • use automated systems to abuse the Platform;
  • interfere with Platform security; or
  • engage in any activity that could harm Boost Piper or its users.

31. OFF-PLATFORM TRANSACTIONS

Users may not intentionally use Boost Piper to circumvent applicable Platform fees or safeguards by moving a transaction off the Platform solely to avoid Platform charges.

We may restrict or terminate accounts that repeatedly attempt to circumvent the Platform.

However, nothing in these Terms prevents users from communicating or conducting lawful activities outside Boost Piper where permitted by applicable law and the relevant campaign agreement.


32. PROHIBITED CAMPAIGN CONTENT

Campaigns must not require Creators to promote or participate in unlawful activities.

We may prohibit or restrict campaigns involving categories that present legal, safety, regulatory, or Platform-policy concerns.

We may remove campaigns that violate these Terms or applicable law.


33. USER COMMUNICATIONS

Users must communicate respectfully.

You must not use Boost Piper messaging to:

  • threaten users;
  • harass users;
  • send spam;
  • distribute malicious files;
  • solicit illegal activities;
  • send fraudulent offers;
  • distribute unauthorized advertising; or
  • share information that violates another person’s privacy.

We may investigate reported abuse.


34. PRIVACY

Your use of Boost Piper is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, store, and protect personal information.

By using Boost Piper, you acknowledge that you have reviewed the Privacy Policy.


35. THIRD-PARTY SERVICES

Boost Piper may integrate with third-party services including:

  • social-media platforms;
  • payment providers;
  • cloud providers;
  • analytics services;
  • authentication services;
  • messaging services; and
  • other technology providers.

Third-party services may have separate terms and privacy policies.

Boost Piper is not responsible for the independent operation or policies of third-party services.


36. AVAILABILITY OF THE PLATFORM

We aim to keep Boost Piper available and reliable, but we do not guarantee that the Platform will:

  • always be available;
  • operate without interruption;
  • be completely error-free;
  • be compatible with every device;
  • maintain every feature permanently; or
  • remain connected to every third-party service.

We may temporarily suspend services for:

  • maintenance;
  • security;
  • upgrades;
  • technical issues;
  • emergencies; or
  • circumstances beyond our reasonable control.

37. PLATFORM CHANGES

We may modify, add, or remove features from Boost Piper.

This may include changes to:

  • campaign functionality;
  • social-media integrations;
  • analytics;
  • payment methods;
  • account features;
  • subscription plans;
  • messaging;
  • Creator discovery; and
  • other Platform functionality.

We will make reasonable efforts to communicate material changes where appropriate.


38. ACCOUNT SUSPENSION

We may suspend or restrict an account if we reasonably believe that the user:

  • violated these Terms;
  • committed fraud;
  • provided false information;
  • abused another user;
  • manipulated Platform systems;
  • violated applicable law;
  • created a security risk;
  • abused payment systems; or
  • otherwise poses a risk to the Platform or its users.

Where appropriate, we may provide notice and an opportunity to address the issue.


39. ACCOUNT TERMINATION

You may stop using Boost Piper at any time.

We may terminate or permanently restrict an account where permitted by law if:

  • the user materially violates these Terms;
  • the user engages in fraudulent activity;
  • the user repeatedly violates campaign requirements;
  • the account creates a security risk;
  • the user abuses other users;
  • the user violates applicable law; or
  • continued access is otherwise inappropriate or unlawful.

Termination does not automatically eliminate obligations that arose before termination.


40. EFFECT OF TERMINATION

After account termination:

  • access to the Platform may be removed;
  • active campaigns may be cancelled or otherwise handled;
  • outstanding payments may be processed according to applicable rules;
  • certain records may be retained where legally required; and
  • information may be retained in accordance with our Privacy Policy.

41. DISCLAIMERS

Boost Piper provides a platform for connecting Brands and Creators.

We do not guarantee:

  • that a Brand will find a suitable Creator;
  • that a Creator will obtain campaigns;
  • that a campaign will achieve a particular result;
  • a specific number of views;
  • a specific engagement rate;
  • an increase in sales;
  • an increase in followers;
  • campaign profitability;
  • Creator income;
  • Brand revenue; or
  • any particular marketing outcome.

Users are responsible for evaluating potential collaborations and making their own business decisions.


42. NO EMPLOYMENT RELATIONSHIP

Using Boost Piper does not create an employment, partnership, joint-venture, franchise, or agency relationship between:

  • Boost Piper and a Creator;
  • Boost Piper and a Brand; or
  • a Brand and a Creator,

unless a separate written agreement expressly establishes such a relationship.

Creators are generally independent service providers unless applicable law provides otherwise.


43. TAXES

Users are responsible for understanding and complying with their own tax obligations arising from transactions conducted through Boost Piper.

This may include:

  • income taxes;
  • business taxes;
  • withholding obligations;
  • VAT or applicable consumption taxes; and
  • other applicable government charges.

Boost Piper may provide transaction records where available but does not provide personal tax advice.


44. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Osnix Enterprise and Boost Piper will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

  • use of the Platform;
  • inability to use the Platform;
  • campaign outcomes;
  • user conduct;
  • third-party services;
  • social-media platform changes;
  • loss of profits;
  • loss of business opportunities;
  • loss of reputation;
  • loss of data; or
  • disputes between users.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.


45. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Osnix Enterprise, Boost Piper, its employees, contractors, officers, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from:

  • your violation of these Terms;
  • your unlawful activity;
  • your content;
  • your campaign activities;
  • your infringement of another person’s rights;
  • your misuse of the Platform; or
  • your violation of applicable law.

46. FORCE MAJEURE

We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

  • natural disasters;
  • government actions;
  • internet outages;
  • telecommunications failures;
  • cyberattacks;
  • third-party service failures;
  • social-media API changes;
  • power outages;
  • civil emergencies;
  • war;
  • epidemics; or
  • other circumstances beyond our reasonable control.

47. FEEDBACK

If you provide suggestions, ideas, or feedback regarding Boost Piper, you grant us permission to use that feedback without compensation or obligation to you, unless otherwise agreed in writing.


48. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the applicable laws of the Republic of Ghana, subject to any mandatory rights or protections available to users under applicable law.


49. DISPUTE RESOLUTION

We encourage users to contact Boost Piper first to attempt to resolve disputes informally.

Where a dispute cannot be resolved informally, it may be subject to the appropriate courts, tribunals, arbitration mechanisms, or other dispute-resolution processes available under the laws of Ghana.

Nothing in these Terms prevents a party from exercising any mandatory legal right available to it.


50. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.


51. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not mean that we waive our right to enforce it later.


52. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms applicable to particular Platform features, constitute the agreement between you and Osnix Enterprise regarding your use of Boost Piper.

Additional terms may apply to:

  • payments;
  • campaigns;
  • subscriptions;
  • promotions;
  • specific integrations; and
  • other services.

53. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When we make changes, we will update the Last Updated date.

Where changes are material, we may provide additional notice through:

  • the application;
  • email;
  • website notifications; or
  • other reasonable methods.

Your continued use of Boost Piper after the updated Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.
